MorelandConnect LLC (“Moreland”) is pleased to provide this Arrangement Letter (“Agreement”) confirming our consulting services (the “Services”) to assist Intelligent Respiratory Devices, LLC (“IRD”) with an initial Discovery — a focused “pre-discovery” — for the NeoAdaptiveO2 automatic oxygen control device (the “Project”).
Background
IRD holds the patented closed-loop oxygen-control technology originally developed at the University of Missouri for automatically maintaining oxygen saturation in neonatal intensive-care patients. Moreland has taken receipt of the device hardware along with the software and regulatory documentation package. After a period of dormancy, IRD wishes to confirm what exists, establish a working baseline, and define the path forward before committing to a larger development program.
Project Objectives, Approach, and Scope
Project Objectives
This engagement is a brief, fixed-fee initial Discovery that determines whether the existing software can be built and run on the delivered hardware, locates and documents the core control algorithm (the intellectual property), and prepares for and supports an on-site session with the original developer — concluding with a clear recommendation and a scoped, priced proposal for the subsequent phases of work.
Project Approach and Timeline
Moreland will stand up the development environment, attempt to build and run the controller software, inventory the delivered hardware against the bill of materials, and coordinate the on-site knowledge-transfer with the original developer. The Project is targeted to begin the week following execution of this Arrangement Letter, with an expected duration of approximately one (1) month. Subsequent phases — first prototype and full modernization — will be scoped and contracted separately at the conclusion of this Discovery.
