Statement of Work
This Statement of Work (this “SOW”) dated as of August _ 17_, 2026 (“Effective Date”) is between Brookfield Properties
(USA II) LLC (“Brookfield”) and MorelandConnect LLC ("Moreland" , and together with Brookfield, the “Parties” ) for
consulting services (the "Services") to assist Brookfield with changing SFTP credentials, deploying the updated solution,
validating the deployment, and troubleshooting outstanding Brookfield account issues.
This Statement of Work is made pursuant to and subject to all of the terms and conditions of the Master Services Agreement
between the Parties dated as of May 12, 2025 (the “Agreement”) and is incorporated herein by such reference. All
capitalized terms used herein which are not otherwise defined herein shall have the respective meanings ascribed to them in
the Agreement.
Project Approach
Brookfield will prioritize work and communicate to the Moreland resources using normal communication channels (e.g.,
email, phone, meetings). The Moreland team will work with Brookfield to coordinate the credential change, deployment,
validation, and troub leshooting activities described below.
Responsibilities
The following table outlines the key responsibilities for Brookfield and Moreland.
Organization Key Responsibilities
Brookfield • Appoint a project or account contact to direct activities and assist with
project execution
• Provide timely access to SFTP server credentials, configuration details, and
relevant system documentation
• Provide access to subject matter experts familiar with the existing account
setup and integration
• Review and provide feedback on interim deliverables within two (2)
business days
• Approve and sign off on final deliverables and validation testing
