Dear Safeguard Team:
MorelandConnect LLC (“Moreland”) is pleased to provide this Arrangement Letter (“Agreement”)
confirming our consulting services (the “Services”) to assist Safeguard Properties (“Safeguard”).
Background
Safeguard Properties is a leading national property preservation and field services company,
providing comprehensive solutions to mortgage servicers, investors, and government agencies
across the United States.
As part of the ongoing Vendor Management System (VMS) initiative, Safeguard requires
enhancements that let Vendor Account Managers (VAMs) act on vendor performance directly
from operational screens. This follows the VC Tool Vendor Performance Dashboard wor k already
in production. The current effort adds two committed capabilities, a persisted vendor
performance score and next best vendor reassignment from the Priority Orders and Execution
Tracker screens, plus a time boxed prototype and discovery effort to de-risk the more complex
recruiting needs map and autonomous sourcing agents before they are scoped for build under a
follow -on Arrangement Letter.
This engagement supersedes the remaining scope of the VAM UI Development Arrangement
Letter dated March 11, 2026, which Safeguard has directed Moreland to deprioritize in favor of
the direction below.
All development will occur within the current system architecture and codebase.
Scope of Services
Moreland will provide consulting services to assist Safeguard with the following:

● Vendor Performance Score Storage: daily server side calculation and persistence of the
vendor performance score using the live dashboard weighting, exposed for consumption
by the reassignment recommendation engine.
● Reassignment Recommendation Engine: ranking of candidate vendors using a
normalized, weighted composite of proximity,
